Welcome to INVESTORMX.
These Terms and Conditions govern your access to and use of INVESTORMX, IMXapp, the INVESTORMX website, related pages, private dashboards, property information, investor access systems, communications, and related services.
INVESTORMX is a private investor deal matrix powered by LigonAI. The platform is designed to provide approved users with access to selected real estate investment opportunity information, property data, market filters, pricing details, photos when available, maps, and related deal review tools.
By visiting the website, requesting access, logging into IMXapp, using the platform, viewing property information, submitting a request, or communicating with INVESTORMX, you agree to these Terms and Conditions.
If you do not agree with these Terms and Conditions, do not use INVESTORMX.
1. Definitions
For purposes of these Terms and Conditions:
“INVESTORMX” means the private investor access platform, website, IMXapp dashboard, systems, tools, property information, and related services.
“IMXapp” means the private dashboard or application where approved users may review active property opportunities and related information.
“User,” “you,” or “your” means any person or entity that accesses, views, uses, submits information to, or interacts with INVESTORMX.
“Approved User” means a person or entity that has been granted access to IMXapp or another private area of INVESTORMX.
“Property Information” means any property details, addresses, pricing, ARV, photos, descriptions, access notes, maps, market details, showing information, documents, messages, notes, or related materials provided through INVESTORMX.
“Platform” means INVESTORMX, IMXapp, the website, data systems, dashboards, access tools, communication systems, and any related technology.
“LigonAI” means the technology and systems division that powers or supports INVESTORMX.
2. Private Access Platform
INVESTORMX is a private access platform.
INVESTORMX is not an open public marketplace, public listing service, brokerage platform, MLS, real estate agency, public advertising site, coaching program, or general property browsing website.
Access may be limited to approved investors, selected buyers, internal contacts, strategic partners, or other users approved by the platform administrator.
INVESTORMX reserves the right to approve, deny, limit, pause, suspend, revoke, or remove access at any time for any reason, including internal review, payment status, user conduct, misuse, platform availability, business discretion, or violation of these Terms and Conditions.
3. Eligibility
You must be at least 18 years old to use INVESTORMX.
By using INVESTORMX, you represent that:
You are at least 18 years old.
You have the legal authority to agree to these Terms and Conditions.
Any information you submit is accurate and truthful to the best of your knowledge.
You will use the platform only for lawful business or investment purposes.
You will not use the platform for unauthorized marketing, solicitation, redistribution, scraping, harassment, illegal activity, or any prohibited use.
4. Approved User Access
Access to IMXapp is available only to approved users.
Approval is not guaranteed.
Approval may depend on buyer profile, investment experience, market focus, capital source, payment status, conduct, intended use, internal review, platform availability, and other factors.
INVESTORMX may require users to submit information before access is granted.
Approved users may be required to maintain an active account, active payment status, valid contact information, and compliance with platform rules.
If your access is approved, you are responsible for keeping your login information secure.
You may not share your login credentials, access link, session, account, or platform access with any unauthorized person.
5. Login Sessions
INVESTORMX may allow approved users to remain logged in for convenience.
A saved login session does not guarantee continued access.
Access may still be checked against the approved user system each time you use the platform.
Your session may be ended or blocked if:
Your access is removed.
Your payment status changes.
Your membership status changes.
Your account is paused or revoked.
Your session expires.
Misuse is detected.
Unauthorized activity is suspected.
You violate these Terms and Conditions.
You may log out using the logout function when available.
6. No Guarantee of Access
INVESTORMX may be unavailable at times due to updates, maintenance, technical problems, third party service issues, Google service limitations, hosting limitations, browser issues, mobile device behavior, internet problems, or other causes.
INVESTORMX does not guarantee uninterrupted access, error free performance, continuous availability, or compatibility with every device, browser, operating system, or platform.
INVESTORMX may update, modify, limit, move, replace, or discontinue any part of the platform at any time.
7. Property Information Is for Preliminary Review Only
All Property Information provided through INVESTORMX is for preliminary review only.
Property Information may be incomplete, estimated, delayed, updated, changed, withdrawn, unavailable, inaccurate, or subject to correction without notice.
INVESTORMX does not guarantee the accuracy, completeness, reliability, availability, suitability, or current status of any Property Information.
Property Information may include estimates, third party information, manually entered information, internal notes, seller supplied details, public data, team review data, or other sources.
You are responsible for independently verifying all information before making any offer, entering into any agreement, visiting any property, conducting inspections, relying on any data, or making any investment decision.
8. Buyer Due Diligence
You are solely responsible for your own due diligence.
This includes verifying:

Liens
Taxes
Occupancy
Physical condition
Repairs
Access
Zoning
Permits
Code violations
Rental status
Utilities
Insurance
Square footage
Beds and baths
Lot size
ARV
Comparable sales
Repair estimates
Market value
Rental potential
Closing requirements
Assignment terms
Contract terms
Legal restrictions
Any other material facts
You should consult your own real estate professionals, attorney, title company, lender, inspector, contractor, appraiser, insurance provider, tax advisor, and other advisors before making any decision.
9. No Investment Advice
INVESTORMX does not provide investment advice, legal advice, tax advice, financial advice, lending advice, appraisal advice, construction advice, or brokerage advice.
Any information displayed on INVESTORMX is provided for preliminary business review only.
You are responsible for making your own independent investment decisions.
You understand that real estate investing involves risk, including loss of money, failed closings, inaccurate estimates, repair overruns, title issues, market changes, property damage, legal disputes, tenant issues, financing issues, and other risks.
10. No Brokerage Relationship
Use of INVESTORMX does not create a brokerage relationship, agency relationship, fiduciary relationship, advisory relationship, partnership, joint venture, employment relationship, or representation agreement between you and INVESTORMX.
INVESTORMX is not acting as your broker, agent, investment advisor, attorney, lender, appraiser, property manager, or fiduciary.
Any transaction relationship, if applicable, must be documented separately in writing.
11. No MLS or Public Listing Service
INVESTORMX is not an MLS, public listing service, public marketplace, or public advertising platform.
Property Information shown inside INVESTORMX may be limited to approved users and may not be publicly available.
Property Information may be removed, hidden, updated, or withdrawn at any time without notice.
12. No Offer or Guarantee of Deal Availability
Nothing on INVESTORMX is a binding offer to sell, assign, lease, finance, broker, or transfer any property.
Property availability is not guaranteed.
Pricing is not guaranteed.
Access is not guaranteed.
Showing availability is not guaranteed.
Seller approval is not guaranteed.
Contract acceptance is not guaranteed.
Closing is not guaranteed.
A property may be sold, withdrawn, assigned, placed under contract, removed, delayed, repriced, corrected, or otherwise changed at any time.
13. Access and Showing Requests
If you are interested in a property, you must follow the approved request process provided inside INVESTORMX.
You may be asked to review photos when available, run preliminary numbers, and confirm that the property fits your buying criteria before access or showing information is provided.
INVESTORMX may deny, delay, limit, or condition access or showing requests based on property status, owner instructions, occupancy, safety, privacy concerns, timing, internal review, user status, or other factors.
You may not visit, enter, inspect, photograph, approach, knock on, disturb, or attempt to access any property without confirmed authorization and proper instructions.
14. No Unauthorized Contact
You may not use Property Information from INVESTORMX to contact sellers, owners, occupants, tenants, neighbors, agents, representatives, contractors, lenders, title companies, municipalities, or third parties unless specifically authorized through the approved process.
Unauthorized contact is strictly prohibited.
This restriction applies whether the information was viewed in IMXapp, received by message, copied from the platform, remembered from the platform, or obtained through related INVESTORMX communications.
15. No Daisy Chains or Unauthorized Marketing
You may not daisy chain, re market, advertise, post, forward, blast, assign, resell, syndicate, solicit, scrape, copy, upload, publish, or redistribute Property Information without written approval.
You may not use INVESTORMX Property Information to create your own buyer list, public advertisement, social media post, email blast, SMS blast, investor packet, marketplace listing, or third party solicitation.
You may not represent that you control, own, have authority over, or have rights to any property unless you have written authorization.
Violation of this section may result in immediate removal from the platform and any other available remedies.
16. Permitted Use
You may use INVESTORMX only for lawful preliminary review of property opportunities made available to you through approved access.
Permitted use includes:
Reviewing property cards
Searching available markets
Opening map links
Opening photo links when available
Reviewing property descriptions
Running preliminary numbers
Requesting next steps through the approved process
Communicating through approved channels
Managing your own investment review
17. Prohibited Use
You may not:
Use INVESTORMX for illegal activity
Share login access
Share screenshots with unauthorized parties
Scrape platform data
Copy platform data into another database without approval
Attempt to bypass access controls
Attempt to reverse engineer the platform
Attempt to interfere with platform functionality
Use bots, crawlers, scripts, or automated extraction tools
Contact sellers or occupants without approval
Visit properties without approval
Daisy chain property information
Re market property information without approval
Misrepresent your identity
Submit false information
Use the platform to harass, threaten, spam, or solicit others
Use the platform in a way that damages INVESTORMX, LigonAI, users, property owners, occupants, sellers, partners, or related parties
18. Payment, Membership, and Subscription Terms
INVESTORMX may offer paid access, subscription access, priority access, trial access, complimentary access, or private access at the discretion of the platform administrator.
Access may be free, paid, discounted, comped, promotional, limited, or invitation based.
If a paid membership or subscription applies, you are responsible for any applicable fees, billing terms, renewal terms, taxes, payment failures, cancellation requirements, and payment processor terms.
Payment status may affect access.
INVESTORMX may pause, limit, suspend, or remove access for failed payment, cancelled payment, past due status, chargeback, disputed payment, expired payment method, or other billing issue.
Fees, pricing, features, access levels, and membership terms may change at any time unless a separate written agreement states otherwise.
19. Refunds
Unless otherwise stated in a separate written agreement, payments made for INVESTORMX access may be non refundable.
INVESTORMX may evaluate refund requests at its discretion.
No refund is guaranteed because a user did not find a suitable property, did not make an offer, did not close a deal, failed to use the platform, lost access due to misuse, or disagreed with available property inventory.
20. User Submitted Information
If you submit information to INVESTORMX, you represent that the information is accurate, lawful, and does not violate the rights of any third party.
You grant INVESTORMX and LigonAI the right to use submitted information as needed to operate the platform, review access requests, manage user accounts, respond to inquiries, process property requests, enforce rules, improve systems, and maintain internal records.
You are responsible for all information you submit.
21. Communications
By submitting your information, requesting access, or using INVESTORMX, you agree that INVESTORMX, LigonAI, or related personnel may contact you regarding access, account status, platform use, property requests, technical support, investor inquiries, payment status, or related business matters.
Communications may occur by email, phone, text message, form submission, platform message, or other available method.
Standard message and data rates may apply.
22. Text Messaging and Mobile Contact
INVESTORMX may provide buttons, messages, or contact instructions that allow users to prepare or send text messages regarding a property.
Text functionality may depend on the user’s device, browser, carrier, operating system, and settings.
INVESTORMX does not guarantee that SMS, share, copy, or mobile contact features will work on every device.
You are responsible for reviewing any message before sending it.
23. Third Party Services
INVESTORMX may use or link to third party services, including Google Sites, Google Apps Script, Google Sheets, Google Drive, map services, photo hosting, payment processors, communication tools, analytics tools, hosting providers, or other service providers.
INVESTORMX is not responsible for third party service performance, downtime, errors, privacy practices, security issues, content, or terms.
Your use of third party services may be governed by their own terms and policies.
24. Google Services
INVESTORMX may rely on Google services for website hosting, app functionality, data storage, automation, forms, sheets, scripts, files, or related operations.
Google service limitations, display banners, mobile behavior, permissions, outages, browser handling, or access restrictions may affect the platform.
INVESTORMX does not control all Google service behavior.
25. Intellectual Property
INVESTORMX, IMXapp, LigonAI, logos, branding, page layouts, platform design, written content, dashboards, workflows, property display structures, data organization methods, software, scripts, graphics, user interface concepts, and related materials are owned by or licensed to INVESTORMX, LigonAI, or related parties.
You may not copy, reproduce, modify, distribute, sell, license, create derivative works from, or exploit any part of the platform without written approval.
Using the platform does not give you ownership rights in any INVESTORMX or LigonAI intellectual property.
26. Limited License
Approved users are granted a limited, revocable, non exclusive, non transferable license to access and use INVESTORMX for permitted preliminary investment review only.
This license may be revoked at any time.
No other rights are granted.
27. Feedback and Suggestions
If you provide feedback, suggestions, ideas, feature requests, improvements, or comments regarding INVESTORMX, you allow INVESTORMX and LigonAI to use them without restriction or compensation.
This includes using feedback to improve the platform, create new features, update workflows, or develop related systems.
28. Confidentiality and Restricted Information
Property Information, access details, platform records, user facing data, internal notes, pricing, showing instructions, and related platform content may be considered restricted information.
You agree to handle this information responsibly and not disclose it to unauthorized parties.
This restriction continues even after your access ends.
29. Privacy
Your use of INVESTORMX is also governed by the INVESTORMX Privacy Policy.
By using the platform, you agree that information may be collected, used, stored, shared, and processed as described in the Privacy Policy.
30. Platform Monitoring
INVESTORMX may monitor platform access, usage, requests, login attempts, device behavior, technical logs, property inquiries, and suspected misuse to protect the platform, enforce these Terms and Conditions, maintain security, and support operations.
31. Account Suspension or Termination
INVESTORMX may suspend, limit, revoke, or terminate access at any time.
Reasons may include:

Unauthorized marketing
Daisy chaining
Unauthorized contact
Unauthorized property visits
Sharing login access
False information
Non payment
Payment dispute
Platform misuse
Suspicious activity
Inactivity
Internal review
Business discretion
Legal or security concerns
Upon termination, you must stop using INVESTORMX and stop using any Property Information obtained from the platform except as allowed by a separate written agreement.
32. No Warranty
INVESTORMX is provided on an “as is” and “as available” basis.
INVESTORMX makes no warranties of any kind, express or implied.
This includes no warranties regarding accuracy, completeness, availability, reliability, merchantability, fitness for a particular purpose, title, non infringement, investment suitability, deal profitability, property condition, property availability, or platform performance.
33. Limitation of Liability
To the fullest extent permitted by law, INVESTORMX, LigonAI, related companies, owners, officers, managers, members, employees, contractors, agents, partners, service providers, and affiliates are not liable for any indirect, incidental, special, consequential, punitive, exemplary, or economic damages.
This includes damages related to lost profits, lost deals, failed closings, lost opportunity, inaccurate property information, user decisions, platform downtime, access issues, third party services, mobile device issues, payment issues, unauthorized use, or reliance on platform information.
Your use of INVESTORMX is at your own risk.
34. Indemnification
You agree to defend, indemnify, and hold harmless INVESTORMX, LigonAI, related companies, owners, officers, managers, members, employees, contractors, agents, partners, service providers, and affiliates from any claims, damages, losses, liabilities, costs, expenses, demands, or disputes arising from:

Your violation of these Terms and Conditions
Your misuse of Property Information
Your unauthorized marketing
Your unauthorized property contact or visit
Your violation of law
Your violation of third party rights
Your submitted information
Your investment decisions
Your communications with third parties
Your breach of any platform rule
35. Disputes
If a dispute arises related to INVESTORMX, the parties should first attempt to resolve the matter informally by contacting INVESTORMX through the Contact Us process.
INVESTORMX may update dispute resolution procedures in the future.
Nothing in this section limits INVESTORMX’s ability to seek immediate relief for misuse of property information, unauthorized marketing, unauthorized access, intellectual property misuse, or other urgent harm.
36. Governing Law
These Terms and Conditions are governed by the laws of the State of Florida, without regard to conflict of law principles, unless another governing law is required by applicable law or a separate written agreement.
37. Venue
To the extent permitted by law, any dispute related to INVESTORMX, IMXapp, the website, Property Information, access, or these Terms and Conditions shall be handled in a court of competent jurisdiction located in Florida.
38. Severability
If any provision of these Terms and Conditions is found invalid, unlawful, or unenforceable, the remaining provisions will continue in full force and effect.
The invalid or unenforceable provision will be modified to the minimum extent necessary to make it enforceable if permitted by law.
39. No Waiver
Failure by INVESTORMX to enforce any part of these Terms and Conditions does not waive the right to enforce that provision or any other provision later.
40. Assignment
You may not assign or transfer your rights or obligations under these Terms and Conditions without written approval.
INVESTORMX may assign or transfer its rights and obligations as part of a business transfer, restructuring, platform migration, company reorganization, asset transfer, or related transaction.
41. Changes to the Platform
INVESTORMX may update, modify, replace, remove, migrate, or discontinue any part of the website, IMXapp, dashboard, data systems, features, property records, access rules, pricing, content, or user experience at any time.
42. Changes to These Terms and Conditions
INVESTORMX may update these Terms and Conditions from time to time.
Updated Terms and Conditions will be posted on the website with a new effective date.
Your continued use of INVESTORMX after updated Terms and Conditions are posted means you accept the updated terms.
43. Entire Agreement
These Terms and Conditions, together with the Privacy Policy and any applicable written agreements, form the agreement between you and INVESTORMX regarding your use of the platform.
If a separate written agreement applies to a specific transaction, membership, property, or business relationship, that agreement may control for that specific matter.

Access may be modified or removed at any time.
Unauthorized marketing, daisy chaining, seller contact, occupant contact, and unauthorized property visits are prohibited.
No property information is guaranteed.
No investment outcome is guaranteed.
Your use of the platform is at your own risk.
